1. Prices and sales conditions

All prices quoted in TT GROUP srl documents are net sales prices, excluding VAT. Prices and all conditions (quantity of goods, delivery terms and conditions, payment terms, etc.) of commercial offers are valid for 15 calendar days from the date of issue, unless otherwise stated in writing in the commercial offer.

2. Reservation of property

Delivered goods remain the property of TT GROUP srl until full payment for them has been made. Until all claims are satisfied, the customer may not dispose of the goods, resell them or pledge them without written authorisation from TT GROUP srl.

3. Delivery

Goods are sold ex works, unless otherwise indicated in writing by TT GROUP srl. The proposed delivery period is neither peremptory nor essential for the execution of the purchase order. It is therefore not permissible as a termination clause or for indemnification, compensation and/or penalties. In the event that the delivery time is peremptorily fixed, against penalty for late delivery, the clause must necessarily be agreed upon and expressly stated and confirmed in writing in the order confirmation of TT GROUP srl. Strikes are always to be regarded as force majeure. Irrespective of the agreed clauses, delivery is deemed to be made upon notice of availability of the goods at the Rome premises, as delivery free at destination is considered a mere incidental function. From the moment of notice, all legal deadlines for performance of the obligation (invoicing, payment, etc.) begin. In the event of failure to collect the goods, which is not authorised in writing, the goods shall remain available at the head office in Rome for three months, after which time the order shall be deemed cancelled and TT GROUP srl reserves the right to claim damages. In the event of shipment by a carrier, whether a carrier trusted by TT GROUP srl or indicated by the customer, the shipment shall be considered uninsured, unless expressly agreed in writing. In any case, even if the goods are sold carriage paid, TT GROUP srl’s liability for carriage ends when the goods leave the premises in Rome.

4. Payment

Payment must be made on the terms and in the manner indicated.
No extensions of deadlines are permitted unless expressly agreed in writing. In any case, for payment extensions not previously agreed upon, the rules set forth in Legislative Decree No. 231/02 will be applied, and in particular the default interest ex. art. 4.
Contractual terms and conditions and any vexatious clauses already prepared by the customer on pre-printed forms shall be deemed null and void: any variation of these terms and conditions must be expressly agreed upon in writing. Any disputes about the supply do not entitle the customer to suspend or delay payment.

5. Withdrawal by the purchaser

In the event of withdrawal from the contract of sale by the purchaser, TT GROUP srl reserves the right to charge the customer for the costs incurred for the preparation of material, drawings and studies up to the time of receipt of notice of withdrawal in writing.

6. Warranty

The guarantee covers defects in the goods sold for 12 months from the date of delivery.
Replacement and/or repair of defective materials takes place exclusively at our premises. location and the goods must be sent carriage paid. The guarantee is excluded in the event of improper storage, lack of and/or incorrect maintenance, incorrect assembly, tampering, modifications, unsuitable use and unintended operating conditions.
Also excluded from the guarantee are parts subject to normal wear and tear or damaged by destructive atmospheric events (e.g. lightning, hailstorms, etc.). TT GROUP srl disclaims all liability for the choice of materials and the conditions of use and assembly of parts, being aware of the use of the goods only as specifically stated in the request for quotation.

7. Tuning

TT GROUP srl after installation and testing of the software (where applicable) will carry out, if necessary, a maintenance activity known as “tuning” aimed at removing any errors not highlighted during the software testing phase. This activity will be carried out between three and six months post acceptance, in agreement with the customer.

8. Sub-suppliers

TT GROUP reserves the right to use external collaborators for the performance of one or more activities of the contract. If applicable, the concluded continuous cooperation contracts will be attached.

9. Obligations of the client.

The client undertakes to provide TT GROUP srl with all means necessary for the fulfilment of contractual obligations (e.g. authorisations for access to installation sites, provision of supporting documentation, etc.).

10. Complaints

Any shipping errors or missing material must be reported within three working days to TT GROUP srl, quoting the order confirmation number and/or transport document number.

11. Returning goods

The return of goods must be authorised by TT GROUP srl by means of an RMA form. The authorisation number must be clearly indicated in the packaging and in the transport document. The goods must be shipped in suitable packaging and carriage paid.

12. Responsibility

TT GROUP srl is responsible for the use of the products supplied only to the extent of the information expressly provided in the order confirmation issued by TT GROUP srl against a purchase order.

13. Privacy

Data collected by TT GROUP srl will be processed in accordance with Art. 13 del D. Lgs. 196/2003 and art. 13 del Regolamento UE n. 2016/679.

14. Jurisdiction

The Court of Rome shall have exclusive jurisdiction over any disputes.
